Terms of Service

1. Acceptance of Terms

By creating a Nexlymate account, starting a free trial, or accessing any service provided by Vitionary Solution Lanka Interactive Corporation under the Nexlymate brand, you agree to comply with and be legally bound by these Terms of Service.

2. Description of the Service

Nexlymate OMS provides cloud software enabling merchants to manage product inventories, operate branded online storefronts, process customer orders, generate shipping waybills with third-party courier services, and track business analytics.

3. Merchant Responsibilities

As an active store owner, you agree that:

• You will not use the service to sell counterfeit goods, prohibited substances, or illicit merchandise.
• You are solely responsible for maintaining the confidentiality of your account credentials and API keys.
• You will comply with all domestic consumer protection and eCommerce regulations applicable in your operating jurisdiction.

4. Subscription Billing, Upgrades & Cancellation

Nexlymate OMS subscription fees are billed monthly or annually in advance. You can upgrade, downgrade, or cancel your subscription at any time without long-term lock-in or early termination penalties. We offer a 14-day free trial on all standard tiers.

5. Courier Logistics & Third-Party Services

Nexlymate facilitates API connectivity between your store and courier providers (including Koombiyo, Domex, and Royal Express). Physical parcel handling, transit timelines, and COD remittance disbursements remain the sole contractual responsibility between the merchant and the respective courier provider.

6. Platform Availability & SLA

We work to maintain 99.9% platform availability across our global infrastructure. Scheduled maintenance is communicated in advance and performed during off-peak hours.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Nexlymate and its parent company shall not be liable for indirect, incidental, or consequential damages resulting from third-party courier delays, bank gateway interruptions, or loss of profits.

8. Governing Law

These terms are governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes arising under these terms shall be subject to the jurisdiction of the competent courts of Colombo.
